Terms of use

These terms apply to H6YS Studio and its products, including Hedz.  By creating an account you accept them.

Who we are

H6YS Studio is provided by Humphreys Law Ltd, a company registered in England and Wales (number 10772058), whose registered office is at 5th Floor, 167-169 Great Portland Street, London W1W 5PF.  Humphreys Law is authorised and regulated by the Solicitors Regulation Authority (SRA ID 639271).  Contact: hedz@humphreys.law.

What H6YS Studio is, and is not

  • (a) Tools, not advice. H6YS Studio provides tools for managing corporate and commercial transactions.  You can use it alongside your own advisors.  Nothing on screen or in any export is legal, tax, financial or any type of regulatory advice in the UK or any other jurisdiction.  Always take your own independent advice.
  • (b) No solicitor-client relationship. Using H6YS Studio does not make you a client of Humphreys Law.  The firm’s professional obligations apply only where you engage it separately, in writing.
  • (c) A beta. H6YS Studio is in private beta.  It may change, be unavailable or be withdrawn at any time, and features may not work as intended.

Your account

  • (a) By invitation only. Accounts are created only by invitation from Humphreys Law.
  • (b) Keep it secure. Keep your password to yourself, and tell us straight away at hedz@humphreys.law if you think someone else has used your account.
  • (c) Our right to suspend. We may suspend or close an account to protect the service, its users or Humphreys Law.

Using it properly

  • (a) Sample information only during the beta. Do not enter or upload real client or deal information until we tell you in writing that the beta has ended.
  • (b) No misuse. Do not try to get around security, reach information you are not entitled to see, or copy or resell the service.

Ownership

Humphreys Law owns H6YS Studio, its software, its templates and its content, including the Hedz model heads of terms.  What you enter remains yours; you allow us to store and process it only to run the service for you.

Liability

  • (a) As is. During the beta the service is provided free and “as is”.  To the extent the law allows, we accept no liability for any loss arising from its use, and in any event our total liability is limited to £100.
  • (b) What we do not exclude. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.

Changes and law

We may update these terms.  We will tell you, and ask you to accept the new version before you carry on.  These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Legal information about us

This section publishes the information about us which the Electronic Commerce (EC Directive) Regulations 2002, the Provision of Services Regulations 2009 and the Company, Limited Liability Partnership and Business (Names and Trading Disclosures) Regulations 2015 require to be made available.

  • (a) Registered name and legal form. Our registered name is Humphreys Law Limited.  We are a limited company registered in England and Wales.
  • (b) Registration. We are entered in the register of companies maintained by Companies House for England and Wales under company number 10772058.  That register can be searched at https://find-and-update.company-information.service.gov.uk.
  • (c) Registered office. Our registered office is 5th Floor, 167-169 Great Portland Street, London W1W 5PF.
  • (d) Address at which we are established for this service. We are established for this service at Origin, 40 Berkeley Square, Bristol BS8 1HP.

  • (f) Telephone. Our telephone number is +44 (0)20 3468 8030.
  • (g) VAT. Our VAT registration number is GB 273 3569 82.
  • (h) Professional body, professional title and professional rules. We are a firm of solicitors.  Our regulated lawyers use the professional title “solicitor”.  Our professional body and regulator is the Solicitors Regulation Authority (SRA ID 639271), and the title is granted in the United Kingdom.  The professional rules which apply to us are the SRA Standards and Regulations, published by the SRA and available to read at https://www.sra.org.uk/solicitors/standards-regulations/.  The SRA’s general contact details are published at https://www.sra.org.uk/.
  • (i) Supervisory authority. The Solicitors Regulation Authority is the supervisory authority for the firm, and its contact details are published at https://www.sra.org.uk/.
  • (j) Complaints. Please raise a complaint about the Studio with us first, at hedz@humphreys.law, and we will deal with it.
  • (k) Prices and taxes. Access to the current website and the private beta is free of charge.  Where we publish a price for any paid option, we show the price clearly and state whether VAT is included.
  • (l) After-sales guarantees. We offer no after-sales guarantee beyond the rights which applicable law gives you.
  • (m) Features and applicable law. The main features of the service are described in these terms, which are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
  • (n) No service commitment. The information in this section is not an availability, uptime or service-level commitment of any kind.
